Next Ride PH Platform

Effective Date: April 7, 2026

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Next Ride Motors Corporation (“Next Ride,” “we,” “us,” or “our”), a corporation duly organized and existing under the laws of the Republic of the Philippines, governing your access to and use of the Next Ride PH platform (“Platform”), accessible via www.nextride.ph, including any related services, features, functionalities, and future digital interfaces operated by Next Ride.

By accessing, browsing, registering for, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as may be amended from time to time.

1. Nature and Scope of Services

1.1. Next Ride operates a hybrid digital platform that serves both as:

1. an online marketplace facilitating interactions between independent buyers and third-party sellers of motor vehicles; and
2. a direct seller or dealer, offering for sale certain vehicles that are owned, consigned, or otherwise under the control of Next Ride.

1.2. The Platform enables Users to list, browse, inquire about, and transact in relation to motor vehicles. The legal nature of each transaction shall depend on the identity of the seller, as clearly indicated in the relevant listing.

1.3. For third-party listings, Next Ride acts solely as a technology intermediary and shall not be deemed a party to any transaction between Users.

1.4. For listings where Next Ride is identified as the seller, Next Ride shall act as the contracting party, and such transactions shall be governed by applicable laws on sale.

1.5. Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, or fiduciary relationship between Next Ride and any User, unless expressly stated in a separate written agreement.

2. Classification of Listings

2.1. Listings on the Platform shall be classified as:

1. Third-Party Listings – created and managed by independent sellers; and
2. Next Ride Listings – created under official Next Ride accounts.

2.2. Each listing shall be clearly identified to reflect its classification.

2.3. Users acknowledge that the rights, obligations, representations, and liabilities differ materially depending on the classification of the listing.

3. Marketplace Services (Third-Party Listings)

3.1. With respect to Third-Party Listings, Next Ride:

• Does not own, possess, or control the vehicles listed
• Does not act as agent, broker, or representative of any User
• Does not inspect, verify, or certify vehicle condition, legality, or ownership

3.2. All transactions are conducted solely between the buyer and seller, and Next Ride shall not be liable for any aspect of such transactions.

3.3. Users acknowledge that all Third-Party Listings are user-generated, and Next Ride makes no guarantees as to their accuracy or reliability.

4. Next Ride as Direct Seller

4.1. For Next Ride Listings, Next Ride acts as the legal seller of the vehicle.

4.2. Next Ride may, at its discretion:

• Provide inspection summaries or condition reports
• Offer warranties or representations, if expressly stated
• Assist in documentation and ownership transfer

4.3. Any warranty or guarantee shall be valid only if expressly stated in writing.

4.4. In the absence of such express warranty, vehicles shall be deemed sold on an “as is, where is” basis, subject to applicable law.

5. User Eligibility and Account Security

5.1. Users must be at least eighteen (18) years of age and legally capable of entering into binding contracts.

5.2. Users agree to provide accurate, complete, and updated information.

5.3. Users are responsible for maintaining the confidentiality of account credentials and for all activities under their account.

5.4. Next Ride reserves the right to suspend or terminate accounts for violations or suspicious activity.

6. Seller Representations and Warranties

6.1. Third-party sellers represent and warrant that:

• They have legal ownership or authority to sell the vehicle
• The vehicle is free from undisclosed encumbrances
• All listing information is accurate and not misleading

6.2. Sellers shall disclose all material facts, including defects and legal issues.

6.3. Sellers agree to indemnify Next Ride against claims arising from misrepresentation.

7. Buyer Responsibilities and Acknowledgement

7.1. Buyers acknowledge that:

• Third-party listings are not verified by Next Ride
• Vehicles may carry risks, including defects or legal issues

7.2. Buyers are solely responsible for:

• Conducting inspections
• Verifying ownership documents
• Assessing vehicle suitability

7.3. Buyers assume all risks associated with Third-Party Listings.

7.4. The Buyer expressly acknowledges that:

1. For Third-Party Listings, the Buyer does not rely on any representation, warranty, or verification by Next Ride, and agrees that all information is provided solely by the seller;
2. For Next Ride Listings, the Buyer shall rely only on express written representations made by Next Ride, and not on any implied statements or platform content;
3. The Buyer has exercised independent judgment and due diligence prior to entering into any transaction.

7.5. The Buyer assumes full responsibility and risk for:

• Vehicle condition
• Legal ownership
• Transaction outcome

Except only where expressly provided otherwise in a written agreement with Next Ride.

7.6. The Buyer agrees that no statement, listing, communication, or content on the Platform shall be deemed a representation or warranty by Next Ride unless expressly stated in writing.

8. Disclaimer of Warranties (Platform Services)

8.1. The Platform is provided on an “as is” and “as available” basis.

8.2. Next Ride disclaims all warranties, including:

• Accuracy of listings
• Fitness for a particular purpose
• Reliability of Users

9. Limitation of Liability

9.1. To the fullest extent permitted by law, Next Ride shall not be liable for:

• Any damages arising from User transactions
• Fraud, misrepresentation, or misconduct by Users
• Vehicle defects or performance issues

9.2. Liability, if any, shall be limited to fees paid to Next Ride, if applicable.

10. Financing Disclaimer

10.1. Financing options are provided by third-party partners.

10.2. Next Ride:

• Is not a lender or financing institution
• Does not guarantee approval
• Does not control financing terms

10.3. Financing transactions are subject to applicable laws, including the Truth in Lending Act.

11. Data Privacy

11.1. Personal data shall be processed in accordance with the Data Privacy Act of 2012.

12. Prohibited Activities

Users shall not:

• Post fraudulent or misleading listings
• Sell stolen or illegal vehicles
• Engage in unlawful or abusive conduct

13. Indemnification

Users agree to indemnify and hold harmless Next Ride from any claims, damages, or liabilities arising from:

• Breach of these Terms
• Misuse of the Platform
• Transactions with other Users

14. Termination and Suspension

Next Ride reserves the right to suspend or terminate access or listings at its sole discretion.

15. Dispute Resolution

15.1. Disputes between Users shall be resolved directly between the parties.

15.2. Next Ride shall have no obligation to mediate or resolve disputes.

16. Governing Law and Venue

These Terms shall be governed by the laws of the Republic of the Philippines. Venue shall be the proper courts of Taguig City.

17. Amendments

Next Ride may modify these Terms at any time. Continued use of the Platform constitutes acceptance of such changes.
