Next Ride PH Platform – Seller Terms and Listing Agreement

Effective Date: April 7, 2026

This Seller Terms and Listing Agreement (“Agreement”) is entered into between you (“Seller,” “you,” or “your”) and Next Ride Motors Corporation (“Next Ride,” “we,” “us,” or “our”), governing your use of the Next Ride PH platform (“Platform”), accessible via www.nextride.ph, for the purpose of listing and selling motor vehicles.

By creating a listing, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

1. Nature of the Platform and Relationship

1.1. The Platform operates primarily as an online marketplace that connects independent sellers and buyers of motor vehicles.

1.2. Except where expressly agreed in writing, Next Ride acts solely as a technology provider and does not:

• Take ownership of listed vehicles
• Act as a broker, agent, or representative
• Guarantee any transaction outcome

1.3. Nothing in this Agreement shall be construed as creating an agency, partnership, or fiduciary relationship between the Seller and Next Ride.

2. Eligibility and Seller Account

2.1. You represent that you:

• Are at least eighteen (18) years of age
• Have full legal capacity to sell the vehicle
• Possess lawful ownership or authority to sell

2.2. You agree to provide accurate, complete, and updated information at all times.

2.3. Next Ride reserves the right to verify your identity and request supporting documentation.

3. Listing Requirements and Content

3.1. Sellers must ensure that all listings:

• Are truthful, accurate, and not misleading
• Include complete vehicle details
• Reflect the actual condition of the vehicle

3.2. You agree to disclose all material information, including:

• Known defects or damages
• Accident history
• Legal status (liens, encumbrances)

3.3. Listings that are false, misleading, or incomplete may be removed without notice.

4. Optional Assistance Services

4.1. Next Ride may, upon request, provide assistance services, which may include:

• Facilitating communication between parties
• Coordinating viewing or meetings
• Assisting with documentation or financing processes

4.2. Such assistance:

• Is provided on a non-exclusive and non-agency basis
• Does not constitute brokerage services
• Does not transfer control of the transaction to Next Ride

4.3. The Seller retains full responsibility for:

• Negotiation
• Agreement terms
• Completion of the transaction

5. Commission and Payment Terms

5.1. The Seller agrees to pay Next Ride a commission equivalent to five percent (5%) of the final transaction value.

5.2. A transaction shall be deemed successfully completed when:

• The Seller and buyer have reached an agreement; and
• Payment (full or partial) has been made or confirmed

5.3. The commission shall be:

• Due immediately upon completion of the transaction
• Payable through agreed payment methods

5.4. The Seller authorizes Next Ride to:

• Collect the commission directly; or
• Invoice the Seller for the amount due

6. Non-Circumvention

6.1. The Seller agrees not to:

• Bypass the Platform after being connected with a buyer
• Complete transactions outside the Platform to avoid commission

6.2. This obligation shall apply for a period of 90 days from the date of initial contact with a buyer through the Platform.

6.3. In case of breach, the Seller shall be liable to pay:

• The full commission amount; and
• Any additional damages incurred

7. Seller Representations and Warranties

7.1. The Seller represents and warrants that:

• The vehicle is lawfully owned or authorized for sale
• All information provided is accurate and complete
• The vehicle is free from undisclosed legal issues

7.2. The Seller shall indemnify Next Ride against any claims arising from:

• Misrepresentation
• Fraudulent listings
• Breach of this Agreement

8. Liability and Risk Allocation

8.1. The Seller assumes full responsibility for:

• Accuracy of listings
• Vehicle condition
• Legality of the transaction

8.2. Next Ride shall not be liable for:

• Buyer disputes
• Payment issues between parties
• Mechanical defects or damages

9. Platform Rights

Next Ride reserves the right to:

• Remove or suspend listings
• Restrict or terminate Seller accounts
• Request verification documents

10. Data Privacy

10.1. Seller data shall be processed in accordance with the Data Privacy Act of 2012.

11. Termination

11.1. Next Ride may terminate or suspend access at its sole discretion.

11.2. Obligations relating to commission and indemnification shall survive termination.

12. Dispute Resolution

12.1. Disputes between Seller and buyer shall be resolved directly between the parties.

12.2. Next Ride shall have no obligation to mediate disputes.

13. Governing Law and Venue

This Agreement shall be governed by the laws of the Republic of the Philippines. Venue shall be the proper courts of Pasig City, Philippines.

14. Amendments

Next Ride reserves the right to modify this Agreement at any time. Continued use of the Platform constitutes acceptance of such changes.
